Terms of Service

These Terms of Service (“Terms”) govern access to and use of the Inciflo Warehouse Management System (“Inciflo”, “the Platform”, or “the Service”), a warehouse operations and inventory management platform owned and operated by Godamwale Trading and Logistics Private Limited (“Godamwale”, “Company”, “we”, “us”, or “our”).

Inciflo is a general-purpose Warehouse Management System (WMS) designed to support inventory management, warehouse workflows, order processing, and integrations with external commerce platforms, including Shopify.

By accessing or using Inciflo, or by connecting any third-party platform through Inciflo, you (“Merchant”, “you”, or “your”) agree to be bound by these Terms.

If you are accepting these Terms on behalf of a legal entity, you represent and warrant that you have the authority to bind such entities. If you do not agree to these Terms, you must not access or use the Service.

1. Definitions

  • “Authorized Users” means employees, contractors, or agents authorized by the Merchant to access and use Inciflo.

  • “Customer Data” means data relating to a Merchant’s customers processed through Inciflo, including order, shipping, and fulfillment data.

  • “Merchant Data” means data provided by or generated for the Merchant, including inventory, product, warehouse, and configuration data.

  • “Platform” means the Inciflo application accessible via apps.inciflo.com, including all APIs, integrations, and operational interfaces.

  • “Connected Platform” means a third-party system (such as Shopify) connected to Inciflo by the Merchant using OAuth or similar authorization mechanisms.

2. Services and Platform Access

2.1 Service Description

Inciflo provides warehouse management capabilities including inventory tracking, order processing, warehouse workflows, reporting, and integrations with Connected Platforms.

Inciflo may be used:

  • As a standalone WMS

  • With merchant-operated warehouses

  • With third-party logistics (3PL) providers

  • With Godamwale-managed warehouses (subject to separate commercial agreements)

Availability of certain services may depend on configuration, deployment model, or contractual arrangements.

2.2 License Grant

Subject to these Terms, Company grants Merchant a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform solely for Merchant’s internal business purposes during the term of use.

2.3 Platform Access

Inciflo is accessed via apps.inciflo.com.
Certain pages (such as legal disclosures and support information) may be publicly accessible. All warehouse operations, integrations, APIs, OAuth flows, webhooks, and data processing require authenticated access.

Merchant is responsible for maintaining the confidentiality of its credentials and for all activities performed under its account.

2.4 Integration with Connected Platforms (e.g., Shopify)

To enable integrations, Merchant may authorize Inciflo to access Connected Platforms using OAuth or similar authentication mechanisms.

Authorized permissions are used solely to:

  • Synchronize inventory and product data

  • Retrieve and process orders

  • Manage fulfillment and tracking updates

Merchant represents that it has the authority to grant such access under the Connected Platform’s terms and applicable laws.


3. Merchant Responsibilities

3.1 Account Security

Merchant is responsible for safeguarding account credentials and must notify Company immediately of any unauthorized access or security breach.

3.2 Compliance

Merchant agrees to use the Service in compliance with all applicable laws and regulations, including data protection, consumer protection, and platform-specific requirements applicable to Connected Platforms.

3.3 Prohibited Uses

Merchant shall not:

  • Reverse engineer, decompile, or misuse the Platform

  • Introduce malicious code or harmful content

  • Attempt unauthorized access to systems or data

  • Use the Service for unlawful purposes

  • Resell, sublicense, or provide access to the Service without authorization.

4. Data Ownership and Privacy

4.1 Data Ownership

Merchant retains all right, title, and interest in Merchant Data and Customer Data. Company does not claim ownership of such data.

4.2 License to Process Data

Merchant grants Company a limited, royalty-free license to process Merchant Data and Customer Data solely to provide, maintain, and improve the Service.

4.3 Privacy Policy

Data collection, use, and protection are governed by the Privacy Policy available at:

By using Inciflo, Merchant agrees to the Privacy Policy.

5. Data Protection and GDPR

Company processes Customer Data as a data processor on behalf of the Merchant (data controller), unless otherwise specified.

Data subject rights may be exercised by contacting support@inciflo.com. Requests are handled in accordance with applicable data protection laws.

A Data Processing Agreement (DPA) is available upon request.

6. Intellectual Property

Company retains all rights, title, and interest in and to the Platform, including all software, APIs, documentation, and related intellectual property.

Any feedback provided by Merchant may be used by Company without restriction.

Company may use aggregated, anonymized usage data for analytics and service improvement purposes.

 

7. Term and Termination

7.1 Term

These Terms remain in effect while Merchant accesses Inciflo or maintains active integrations.

7.2 Termination by Merchant

Merchant may terminate use of the Service at any time by discontinuing access and disconnecting all Connected Platforms.

7.3 Termination by Company

Company may suspend or terminate access immediately if:

  • Merchant breaches these Terms

  • Fees remain unpaid (where applicable)

  • Required by law or regulatory obligation

  • Continued operation becomes impractical

7.4 Effect of Termination

Upon termination:

  • Access to the Platform ceases

  • Integrations are disconnected

  • Data is deleted in accordance with the Privacy Policy, unless retention is required by law

8. Warranties and Disclaimers

The Service is provided “as is” and “as available”, without warranties of uninterrupted or error-free operation, except as expressly stated.

9. Limitation of LiabilityTo the maximum extent permitted by law, Company’s total liability shall not exceed the greater of:

  • Fees paid by Merchant in the preceding 12 months, or

  • USD $100

Indirect and consequential damages are excluded.

10. Indemnification

Merchant agrees to indemnify and hold harmless Company from claims arising from Merchant’s use of the Service, violation of law, or business practices.

 

11. ConfidentialityEach party shall protect the other’s confidential information using reasonable care and may use such information only to perform obligations under these Terms.

 

 

12. Modifications to Terms

Company may modify these Terms with prior notice. Continued use of the Service constitutes acceptance of the modified Terms.


13. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Disputes shall be resolved through arbitration in New Delhi under the Arbitration and Conciliation Act, 1996.


14. General Provisions

Standard clauses regarding severability, assignment, force majeure, waiver, independent contractors, and entire agreement apply.
